Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cloave (cloave.com), an AI-powered ad intelligence platform ("Cloave," "we," "us," or "our"). By creating an account or using Cloave, you agree to these Terms. If you don't agree, please don't use the service.

1. Who can use Cloave

You must be at least 18 years old and able to form a legally binding contract to use Cloave. By signing up, you confirm this is true.

2. What Cloave is

Cloave provides AI-powered tools that analyze advertising creative and copy, and generate suggestions, rewrites, and campaign strategy content ("Outputs") based on information you submit. Cloave includes a limited free tool (Ad Autopsy) and paid subscription plans that unlock the full set of tools.

3. Your account

You sign in using a passwordless magic link sent to your email. You're responsible for keeping access to that email account secure, and for all activity that happens under your account. Let us know right away if you believe your account has been accessed without your permission.

4. Free tool usage

The free Ad Autopsy tool is limited to one scan per day per account, tracked to prevent abuse. We may change, limit, or discontinue the free tool at any time.

5. Subscriptions and billing

Paid plans (including the one-time lifetime plan) are billed through our payment processor, who acts as the merchant of record for your purchase. By subscribing, you authorize recurring charges until you cancel. You can cancel at any time from your account; cancellation stops future billing but doesn't automatically refund past charges except as described in our Refund Policy. We may change subscription pricing going forward, with reasonable notice to active subscribers.

6. Acceptable use

You agree not to:

• Use Cloave for anything illegal, fraudulent, or that infringes someone else's rights
• Attempt to reverse-engineer, scrape, or resell access to Cloave's tools
• Circumvent usage limits (e.g., creating multiple accounts to bypass the free-tier limit)
• Upload content you don't have the rights to submit for analysis
• Use Cloave to generate advertising for illegal products, hate speech, or content designed to deceive or defraud consumers

7. Content you submit

You keep ownership of the ad copy, images, and video you submit for analysis ("Your Content"). By submitting it, you give Cloave a limited license to process Your Content — including sending it to our AI infrastructure provider — solely to generate your Outputs. We don't claim ownership of Your Content or your Outputs.

8. AI-generated Outputs

Cloave's scores, diagnoses, rewrites, and strategy suggestions are generated by AI and are intended as a starting point, not a guarantee. Real-world ad performance depends on many factors outside Cloave's control (platform, audience, market, execution). Always review Outputs before using them in a live campaign.

9. Intellectual property

Cloave's software, design, branding, and underlying technology are owned by Cloave and protected by applicable intellectual property laws. These Terms don't grant you any rights to Cloave's brand or technology beyond using the service as intended.

10. Third-party services

Cloave relies on third-party infrastructure to operate, including AI processing, authentication, and payment providers. Your use of Cloave is also subject to those providers' own terms where applicable. See our Privacy Policy for details on what's shared with whom.

11. Disclaimers

Cloave is provided "as is" without warranties of any kind, express or implied, including any warranty that the service will be uninterrupted, error-free, or that Outputs will improve your ad performance.

12. Limitation of liability

To the maximum extent permitted by law, Cloave won't be liable for indirect, incidental, or consequential damages arising from your use of the service, including lost advertising spend or lost profits. Cloave's total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.

13. Termination

You can stop using Cloave and cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms, including abuse of the free tier or attempts to circumvent usage limits.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll make reasonable efforts to notify active subscribers. Continuing to use Cloave after changes take effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of Morocco, without regard to conflict-of-law principles, unless otherwise required by the mandatory consumer protection laws of your country of residence.
